Throw the 2000 CD in the machine and find out!
Seriously, it's very easy. 2000 will overwrite 98, replacing it, and it does a pretty good job of keeping your settings and what not.
Tip: When going to 2000, switch to NTFS from FAT32.

The upgrade I believe would imply that you'd pretty much have to start from scratch. Reinstall all your programs, reconfigure everything to the way it was.
Win2k is much better in many respects, and I whole heartidly recommend the upgrade. Installing Win2k is a pretty straight-forward process, and you'll find great support for it since any XP compliant drivers/apps are pretty much compliant with it too.

I got both on my PC. I had a probm. at first because I put both on the same partition. Make sure you have your hard drive partitions big enough so you can seperate the 2 OS. This works well now.
