A Roofing Question

Hi, I need advice about a roof. The company I work for is getting the main roof replaced and they are doing a trade off with a roofing company for advertising (no money exchanged). What we have now is a built up roof; tar and gravel. He wants to put a rubber roof on.
Now, he told me that he doesnt need to take off any of the tar or gravel. He wants to put the board over it and then the rubber roof. For some reason, that just doesn't sound right to me. Or am I wrong?
Any suggestions? Or can you tell me the right way it should be done so I can say something and know what I'm talking about.

A recover vs. a re-roof is OK. There can be NO wet material under the new EPDM roof. ALL wet insulation and BUR must be removed first. Don't miss any. Moisture meters or a infrared survey may be needed.
