It will be fine .. No different then going over a layer of 3 tab shingles.

I wouldn't think it would be a problem, either, although the pros will usually advise to strip first. The downside is that it may affect the warranty of the new roof.

Isn't there a minimum pitch for shingles ?

Most shingles require a 2-3/12 pitch to work correctly. If the pitch is less then it's a very bad idea and most likely not a per code or application.

Shingles should be installed on roofs 4:12 and greater.
They can be installed on pitches between 2:12 and 4:12, but they must have either 2 layers of felt or a self-adhered membrane beneath.

Check the shingle manufacturer's instructions.
