drywall: prep for painting

I have a bathroom that has had the wallpaper removed. However, the wall ended up with nicks, nail holes etc. and was then painted over with a semi-gloss.
Can I sandpaper down just the rough spots, fill the nicks with counpound and then paint over, or do I need to do something requiring more time and effort?

That sounds like a good approach. I would recommend priming over the sanded dry wall compound.
